TERMS OF SERVICE OF DIGITUTORS

 

Welcome to Digitutors! Your use of our services as a Tutor or Student (defined below), including the services we make available through this website (the “Site”) and any materials, software or services offered by us in connection with this Site (the “Services”) is governed by these terms of service (the “Terms” or “User Terms” or “Tutor Terms of Service” or “Student Terms of Service”), so please carefully read them before using the Services. For the purposes of these Terms, “we”, “our”, “us”“Digitutors” and “the Company” refer to Digitutors.ng, the providers and operators of the Services.   

 

BY USING THE SITE, YOU ACCEPT AND AGREE TO THESE TERMS AND CONDITIONS AS APPLIED TO YOUR USE OF THE SITE.

 

You should also read our “Privacy Policy”, which is incorporated by reference into these Terms and Conditions. If you do not accept and agree to be bound by these Terms and Conditions, including our Privacy Policy, do not use the Site or the products and services offered on the Site. By accessing the Site, you consent to these Terms and Conditions in electronic form. To withdraw this consent, you must cease using the Site and, if applicable, terminate your account. Users under the age of 18 must

  • review these Terms and Conditions with a parent or legal guardian to ensure the parent or legal guardian acknowledges and agrees to these Terms and Conditions, and
  • not access the Site and install or uninstall any application if his or her parent or legal guardian doesn’t agree to these Terms and Conditions. By signing up on this Website, You warrant that you have obtained such permission.

You agree your use of the Services is not contingent on the delivery of any future functionality or features or dependent on any oral or written public comments made by Digitutors or any of its affiliates regarding future functionality or features. A breach or violation of any of the Terms will result in an immediate termination of your Services.

 

PRODUCTS AND SERVICES.

Digitutors provides an online platform that allows Tutors (“Tutors”) or Students (“Students” or “Learners”) seeking Tutoring or educational services (“Educational Services”) to connect to allow Tutors to offer educational services (“Tutoring Services”) to Students. “Students and “Tutors” shall also be referred to hereinafter, collectively, as “Users”. As independent contractors hired by Learners, Tutors control the methods, materials and all aspects of the lessons.

Students are responsible for selecting the right tutor for their requirements. In making hiring decisions, Students should review each tutor's self-reported credentials, education, and experience, as well as ratings and reviews from other Students. As much as possible, all tutoring sessions are to be supervised by a responsible adult around. Digitutors website is appropriate and available for use in all locations. Our services may not be available in your location, and available services may vary among locations.

Digitutors’s role involves provision of vetted Tutors on the platform and also facilitates the availability of the Site and tutoring services. As a Tutor, you agree that you are a contractor or an agent and NOT a direct employee of Digitutors, and while our recruitment process handles and ascertains your credibility as a qualified and experienced Tutor, you will determine, in your sole discretion, the periods you are bound to be available online for tutoring, the price for your Tutoring Services, ensure the quality of your content and delivery, and further subject to the requirement that you will at all times comply with applicable law and company guidelines as laid down or determined by Digitutors. You will not be entitled to any benefits paid or made available by Digitutors to its direct employees, including, without limitation, any vacation, sick leave or similar pay or benefit, or to participate in any plans, arrangements or distributions made by Digitutors about any bonus, stock option, profit sharing, insurance or similar benefits.

You hereby agree to be fully responsible for all your tutoring services that is provided using the Services, Our platform, and for any injuries, illnesses, damages, claims, liabilities and costs that you cause to other Users, online or offline. You are also responsible for your interaction with or reliance on any user or user conduct.

 

ACADEMIC HONESTY

You acknowledge and agree that Digitutors’s services are provided for the purpose of facilitating learning, not cheating. You agree not to inquire about the hiring of or to hire tutors to write papers, take tests, exams or otherwise do work on your behalf. Furthermore, you agree not to use Digitutors.ng’s services for any purpose that violates the academic honesty policy or other conduct policies of your school, university, academic institution or workplace.

 

USER SIGN UP, ACCOUNT CREATION AND TERMINATION

In order to use the Services, you will be required to Sign up as a user, and to provide us with personal information, including potentially your name, email address, phone number, contact address and password (“Credentials”). Signing Up for the Services is free of charge.   

A parent or guardian may create an account for the benefit of a minor, but otherwise, you may not create an account for anyone unless expressly authorized by us. You acknowledge that the onus lies with any person who is under the age of 18 who registers with the service to obtain guardian consent before registration. We reserve the right to request proof such of consent at any time. The guardian can also formally retract their consent at any time, and we will de-register the person from the service upon the guardian’s written request and subsequently inform them that they have been de-registered.

In cases where you have authorized or registered another individual, including a minor, to use your account, you are fully responsible for

  1. the online conduct of such user;
  2. controlling your access to and use of the products and services; and
  3. the consequences of any misuse.

In the event that you permit a minor to use your account, we reserve the right to provide access to your account and all information contained therein to such minor’s parents, guardians or other authorized adults, including, but not limited to, authorized school representatives. We are committed to ensuring responsible practices in the collection, use and disclosure of your personal information in accordance with applicable law. The terms and conditions of the “Privacy Policy” are incorporated by reference into and form a binding part of these Terms and Conditions. By submitting personal information to us or any of our service providers, you agree to our collection, use and disclosure of such personal information for the purposes for which you submitted the information, and as described in and in accordance with our privacy policy, and as permitted or required by law. If you do not agree with our “Privacy Policy”, please do not provide us with any personal information, and please do not register.

We have measures in place designed to protect Your information against unauthorized access. But be aware that although we endeavour to provide reasonable security for the information we collect and process, we recognize that no security system can prevent all potential security breaches; thus, we cannot guarantee the absolute safety of Your information.

Please note that You are entirely responsible for any activities that occur under Your account and You shall promptly notify Us of any unauthorized use of Your account or any other breach of security. Digitutors will not be liable for any loss that You may incur as a result of third-party access, either with or without Your knowledge.

You agree that you will not permit, enable, introduce or facilitate any persons who do not have a User Account to have access to the features of the Site and Services only made available to registered Users and Tutors and other persons to participate in providing or obtaining Educational Services from your Account.

When you set up an account, you must also choose a password. You are solely responsible for maintaining the confidentiality of your password and for any use of your account. You agree not to use the account, username, or password of another Authorized User (“Authorized User”) at any time, nor to disclose your password to any third party. All information you provide to create an account must be accurate and complete. You may not impersonate any other person or use a name that is not your own.

You will be asked to create a user profile (a “Profile” or “Tutor Profile”) in the course of signing up for the Services. You may edit and update your Profile freely, and may also upload an image of yourself to use as a profile picture (“Profile Photo”). Creating a Profile Photo is voluntary, and you may remove your Profile Photo at any time.

It is your responsibility to update your account information to keep it current and accurate. You agree you will not sell or share or otherwise transfer your membership or any membership rights. You agree to notify us immediately if you suspect any unauthorized use of your account or access to your password. You agree not to exchange personal information (email addresses, phone numbers, home address, etc.) to any other Authorized Users on the site.

We have the right to terminate your Account for any reason at our sole discretion without notice and without liability. You may not use any means to circumvent our access, registration, or payment systems. You may not continue to use the Site or any products or services available on the Site after we have terminated or suspended your access to the Site or the products or services on the Site.

Registered Users may deregister (“Deregister”) at any time via the Service menu. When deregistering from the Service, you accept that your old profile and preferences will be retained for the duration as determined by us, for the purpose of audit trail, to avoid abuse of the platform and various rewards programmes and to the extent as required by law. You accept that should you attempt to re-register from the service, you will retain your old preferences.

 

STUDENTS’ CODE OF CONDUCT

Students must provide and ensure a safe, clean space in which a lesson can take place.

Please ensure that an accompanying adult is mostly present in the residence for the duration of the session. Lesson must not take place in a student’s bedroom.

Students should be ready to begin a session at the pre-arranged time. Tutors are not required to add time onto the end of a session to make up for a delay in the start of a session because the student or accompanying adult was not present or ready to begin.

Tutors must be treated respectfully and appropriate language must be used, swearing or innuendo will not be tolerated. In cases where there is a problem with the tutor, this must be reported to Digitutors immediately.

Students should not use mobile phones during contact time. Where a phone is needed for learning purposes then this should be explained to the tutor and noted to the accompanying adult present in the house and the phone use should be exclusively for the learning purpose intended.

Purchasing of exercise, laptops, data, books and relevant textbooks is the responsibility of the student. Any equipment, teaching aids, tools or software required to carry out the assignment is entirely the responsibility of the tutor.

 

PAYMENTS AND SCHEDULING

In order to pay for Lesson Services purchased via the Site and Services, Students age 18 years of age or older must provide valid payment information before connecting with a Tutor, and Students under 18 must get a parent and/or guardian to provide payment information and purchase Lessons on their behalf. To the extent permitted by law, or unless explicitly stated otherwise, all fees are exclusive of applicable federal, provincial, state, local or other governmental sales, value-added, goods and services, harmonized or other taxes, fees, or charges now in force or enacted in the future. You are responsible for payment of all applicable taxes relating to your use of our Services, your payments, or your purchases. If we are obligated to pay or collect taxes on the fees you’ve paid or will pay, you are responsible for such taxes, and we may collect payment for such taxes but only if required by law.

When purchasing and booking Lesson Services from a particular Tutor, the Lesson Fee amount will be held by Digitutors pending the Tutor’s acceptance and confirmation of said scheduled Lesson. Once the Lesson Services are completed, the funds held for those Lesson Services will be considered expended.

 

If a Tutor does not accept a Student’s request for Lesson Services, or otherwise fails or is unable to provide the Lesson Services, the funds will be credited back into the Student’s account in the form of a coupon and will be valid for one month which can be used to re-subscribed with another Tutor provided the coupon amount covers the new fee. Failure on the part of a Student to redeem the coupon within 1 month will result in the forfeiture of held Lesson funds.

 

Purchasing and booking Lessons may require use of a third party online payment processor. If you are directed to The Company’s third party payment processor, you may be subject to terms and conditions governing use of that third party’s service and that third party’s personal information collection practices. Please review such terms and conditions and privacy policy before using the services. You agree to pay the applicable fees and any taxes and other fees that may accrue in relation to use of the Site and Services via your Account, if any.

It is your responsibility to attend lessons and be available on time. If you miss a lesson due to your unavailability, the class will be counted as completed as the Tutor has taken time to prepare for the class and was available for you.

Lesson Services Purchases are non-refundable, except as expressly provided in these Terms of Service, and you agree all purchases of Lesson Services are final. We may obtain a pre-approval from the issuer of the card or payment method for the amount of the purchase. If for some reason you believe that you are entitled to a refund of Lesson Purchases, please contact us at hello@digitutors.ng. All refunds are at The Company’s sole discretion.

The Tutor is required to give digitutors a 36 Hour Notice if The Tutor intends to cancel a planned Lesson. If The Tutor is late to a scheduled Session by 15 minutes or more, The Tutor agrees to forfeit that portion of their pay rate and further subject to other signed and binding agreements between the said Tutor and Digitutors. This will be reflected on their electronic payment.                                         

Reimbursement Fee (“Reimbursement Fee”): If The Tutor Cancels or fails to show up for a scheduled session The Tutor will be required to pay a Compensation charge equal to his the Lesson Purchased amount and further subject to other signed and binding agreements between the said Tutor and Digitutors.ng. The Tutor also agrees to provide a compensation class for the student.

Users agree that if The Company already has your Payment Method details on file as a result of prior purchases you have made, we may charge the appropriate Payment Method with any additional Subscriptions/Services/products you purchase.

The Company reserves the right to correct any errors or mistakes that it makes even if it has already requested or received payment. Purchases of Lesson Services may be subject to a maximum limit, as determined by us in our sole discretion. We encourage you to make use of the Rate and Review functionality and If you have any additional complaint or concerns about a User, you may contact the hello@digitutors.ng by indicating ‘Complaints’ in the subject line and giving enough information for us to investigate and take appropriate actions regarding the complaint.

 

TUTOR REGISTRATION AND CANCELLATION

Tutors are free to register at no fee as a user first of all before being approved as a Tutor after our due diligence on such Tutor has been effectively carried out, and therefore agree to our terms and conditions of use as detailed in the prior paragraphs. In a situation in which a Tutor is not eventually approved by Digitutors.ng as one of Our Tutors based on our findings or outcome of the recruitment and verification exercise conducted on the Tutor, such Tutor will be notified of our decision for the Tutor’s disapproval as we deem it necessary and may consequently remain either as an ordinary user on the site, a learner or have the Tutor’s account completely terminated and removed from Our platform based on our sole discretion. Such total termination may be carried out by either Digitutors.ng or the disapproved Tutor anytime afterward.

If you sign up via the site and services to serve as a tutor, you represent and warrant to digitutors that you

  • have requisite qualifications and knowledge in the subjects you select via the services to provide educational services in such subjects to users;
  • will utilize student-paid lesson services solely to provide relevant lesson services; and
  • will not provide lesson services to persons under 12 without the verbal/written consent and/ or supervision of their parent or legal guardian. You understand and agree that users will subscribe to your scheduled sessions or flexible, private sessions via the site and services and request that you provide lesson services, and that you will be able to determine in your own discretion the rate that you would like to charge for your services (subject to the monthly subscription and service fee charged by Digitutors, described further below).
  • sign and forward the terms of contract document including the binding agreements between Digitutors and the contracted Tutor before being approved on Our Site.

 

TUTOR EARNINGS AND DIGITUTORS.NG TUTOR FEES

Digitutors’s take is 40% only of every subscription made on the platform or the price set for any lesson schedule while the Tutor takes 60% of all subscriptions recorded against the Tutor’s name or schedule. The Tutor is solely responsible for all costs and expenses related to the services provided hereunder including, but not limited to, expenses associated with preparing for and administering Sessions, Internet Expenses, Software and hardware license fees which are used on the Tutor’s computer. The Company will not be liable to the Tutor for any expenses incurred in the rendition of services or for any supplies thereto.

COMMUNICATION

You give us consent to provide you with various notifications and messages about / based on your interaction with the Service. These notifications will be delivered to you in the form of electronic messaging or in-application notifications.  These messages include, but are not limited to:

These notifications will be delivered to you in the form of electronic messaging or in-application notifications. These notifications may be transactional or relationship communications relating to the products or services we offer, such as administrative notices and service announcements or changes, or emails containing commercial offers, promotions or special offers from us. You also may sign up, and therefore agree, to receive Electronic, SMS or text messages on your mobile phone. We may, from time to time, make messaging services, review services, chat services, bulletin boards, message boards, blogs, other forums and other such services available on or through the Site. It is important to remember that comments submitted to a forum may be recorded and stored in multiple places, both on our Site and elsewhere on the Internet, which are likely to be accessible for a long time and you have no control over who will read them now or in the future. It is therefore important that you are careful and selective about the personal information that you disclose about yourself and others, and in particular, you should not disclose sensitive, proprietary or confidential information (“confidential”) in your comments to our public forums.

 

COUPONS

By purchasing, redeeming or attempting to redeem a coupon, you accept and agree to be bound by these Terms of Use and acknowledge you have read and understood the following:

Coupons are issued at The Company’s discretion and can only be used to book Lesson Services online through the Digitutors website. Coupons may not be used in conjunction with any other reward, coupon or discount. Coupons are issued with specific terms and conditions that regulate how and when they can be used. The onus is on the customer to check the full coupon T & Cs issued with the coupon and to ensure they understand the coupon’s applications and limitations.

Any fraudulent or abusive behaviour, not limited to the creation of multiple User Accounts, to benefit unduly from a free coupon, is abuse of the benefit and The Company reserves the right to deactivate a customer’s account; to cancel and not to honour any related Lesson Services.

The discount value of the coupon will be deducted from the total booking value. The remaining balance, if any, must be paid by you. Any outstanding difference between the coupon and the amount of the booking must be paid before the expiry date of the quotation. Any balance that remains on the coupon after the coupon validity period has ended will no longer be available for use.

In the event that Lesson Services are cancelled by the Tutor after coupon redemption, monies owing will be refunded in the form of a coupon. Please note that this will not restart the validity period.

In the event a Lesson is cancelled by the student the discounted coupon amount will not be reallocated or refunded.

Coupons are non-refundable and cannot be exchanged for cash. Coupon redemption does not guarantee availability at the Tutor of your choice and all Lesson bookings are subject to availability.

The Company reserves the right to

  1. cancel any coupon promotion at any time ii) cancel or reverse an individual’s coupon redemption
  2. amend these Coupon Terms of Use at any times

Changes to any Coupon Terms for Free Trial Terms of Use will be available on the Digitutors website. In this regard, you undertake to visit the Digitutors website regularly to check whether the Coupon of Free Trial Terms of Use have changed.

 

THIRD-PARTY SOFTWARE

When using services offered through Digitutors’s third-party service providers, such as email, zoom, etc, you will be subject to Terms posted by these third-party service providers. Registration for any of our services or products signifies your agreement to those additional Terms. Any subsequent features, guidelines or tools which are added to the current platform or the third-party platforms shall also be subject to the Terms of Service. You can review the most current version of the Terms of Service at any time on this page. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. It is your responsibility to check this page periodically for changes. Your continued use of or access to the website following the posting of any changes constitutes acceptance of those changes

 

PROPRIETARY RIGHTS

As between Users and The Company, The Company owns, solely and exclusively, all rights, title and interest in and to the Site, all the content (including, for example, audio, photographs, illustrations, graphics, other visuals, video and copy), software, code, data, and the look and feel, design and organization of the Site, and all materials and content related to our programs even if the materials or content are not accessed through the Site. Your use of the Site does not grant to you ownership of any content, software, code, data or materials you may access on the Site.

 

LICENSE FROM YOU

The Company makes no claims to ownership of Content that you submit, post or otherwise make available to or through the Services and you continue to retain all ownership rights in such Content and the right to use your Content as you determine. However, in using the Services, you do grant to The Company and its affiliates a worldwide, nonexclusive, perpetual, fully sub-licensable, royalty-free right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such Content (in whole or part) for the purpose of enabling The Company to provide you with the Services. You represent and warrant that you have all the rights, power and authority necessary to grant the rights granted herein to any Content that you submit, post or otherwise make available to or through the Services.

 

WARRANTIES AND LIMITATIONS OF LIABILITY

The Digitutors service is provided “as is” and without warranty or condition. The User expressly agrees that the use of this Website is at the User's sole risk. In particular, The Company’s service may not be uninterrupted or error-free. You waive all special, indirect and consequential damages against The Company. These terms will not limit any non-waivable warranties or consumer protection rights that you may be entitled to under the laws of your country of residence.

 

The Company will at all times do its utmost best to ensure that all information displayed on the Site and in any communication from Digitutors is accurate, however, should any inaccurate information be published by Digitutors (i.e. incorrect Lesson description or price), despite our best efforts to ensure accuracy, The Company shall not be liable for any direct, indirect, incidental or consequential loss or damage suffered by You as a result of the inaccurate information.

The Company cannot accept liability, to the full extent permitted by law, for any direct, indirect, incidental, special or consequential loss or damage of any kind whatsoever or howsoever caused arising from the access or use of our Site or the purchase of any of our and/or Third Party Products. You agree, to the extent permitted by law, to indemnify us against any loss or damage suffered or liability incurred by reason of any act or omission on your part or that of any third party acting on your behalf in connection with your use of our Services and/or your purchase of any products or services.

 

USER UPLOADED CONTENT

Any ideas, suggestions, survey responses, or testimonials that you submit to us or information you submit or post to our chat rooms, message boards, and/or our blogs (“Submitted Materials”) will be deemed not to be confidential and may be used by us for any purpose. By submitting or sending Submitted Materials to us, you:

  • represent and warrant that the Submitted Materials are original to you, that no other party has any rights thereto, and that any “moral rights” in Submitted Materials have been waived, and
  • grant us and our affiliates a royalty-free, unrestricted, worldwide, perpetual, irrevocable, non-exclusive and fully transferable, assignable and sub licensable right and license to display, use, reproduce, incorporate, modify, create derivative works of and distribute such material (in whole or part). We are not responsible for maintaining any Submitted Material that you provide to us and we may delete or destroy any such Submitted Material at any time.

For any academic source materials such as textbooks and workbooks which you submit to us in connection with our online lesson services, you represent and warrant that you are entitled to upload such materials under the “fair use” doctrine of copyright law. In addition, if you request that our system display a representation of a page or problem from a textbook or workbook, you represent and warrant that you are in proper legal possession of such textbook or workbook and that your instruction to our system to display a page or problem from your textbook or workbook is made for the sole purpose of facilitating your lesson service, as “fair use” under copyright law.

You hereby acknowledge that The Company does not control or actively monitor Content uploaded by other users and, as such, does not guarantee the accuracy, integrity or quality of such Content. You acknowledge that by using the Services, you may be exposed to materials that are offensive, indecent or objectionable. Under no circumstances will The Company be liable in any way for any such Content.

You agree that The Company has no responsibility or liability for the deletion or failure to store any Content or other communications maintained or transmitted through use of the Services. You further acknowledge that you are solely responsible for securing and backing up any such Content. The Company reserves the right (but shall have no obligation) to remove any or all Content from the Services. You agree to immediately take down any Content that violates these Terms, including pursuant to a takedown request from The Company. In the event that you elect not to comply with a request from The Company to take down certain Content, The Company reserves the right to directly take down such Content.

You agree to defend, indemnify and hold us and our directors, officers, employees and agents harmless from any and all claims, liabilities, costs and expenses, including reasonable attorneys’ fees, arising in any way from any content or other material you place on the Site or submit to us, or your breach or violation of the law or of these Terms and Conditions. We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defence of such claim.

 

FEEDBACK.

You may choose to or we may invite you to submit comments, reviews or ideas about the Services, including without limitation about how to improve the Services or our products. By submitting any feedback, you agree that your disclosure is gratuitous, unsolicited and without restriction and will not place The Company under any fiduciary or other obligation, and that we are free to use such feedback without any additional compensation to you, and/or to disclose such feedback on a non-confidential basis or otherwise to anyone.

Additionally, in connection with your provision or receipt of Lesson Services, you may have the opportunity to leave feedback and make comments about your experience with the Tutor or student with whom you have interacted (“Tutor Reviews”) (“Student Reviews”). The Company advises you to exercise caution and good judgment when leaving such comments. Once you submit your comments to via the Site you may not be able to go back and edit your comments, and such comments may be publicly viewable via the Site. You should also be aware that you can be held legally responsible for damages to someone’s reputation if your comments are deemed to be false or defamatory. The Company has no obligation to monitor or censor comments that are provided by Students or Tutors, but has the right to do so for the purpose of operating the Site and Services, to ensure your compliance with these User Terms of Service, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body. The Company disclaims any and all liability relating to Tutor or Student Reviews. Notwithstanding the foregoing, The Company does reserve the right, in its sole discretion, to remove any User Reviews that it deems to be inconsistent with the online activities that are permitted under these User Terms of Service.

 

USER RESPONSIBILITIES AND OBLIGATIONS

Any commercial and non-commercial distribution, publishing or exploitation of the Site, or any content, software, code, data or materials on the Site, is strictly prohibited. Except as expressly permitted by these Terms and Conditions or by law, you may not download, display, copy, reproduce, distribute, modify, perform, transfer, create derivative works from, sell or otherwise exploit any content, software, code, data or materials on the Site or any materials or content related to our programs even if the materials or content are not accessed through the Site. If you improperly use the Site, we may aggressively enforce our intellectual property and other rights to the fullest extent of the law, including the seeking of criminal prosecution. We may investigate and/or terminate your account if you misuse the Site or behave in any way that we regard as inappropriate or unlawful. You agree that, while using the Site and the various products, Educational Services and features offered on or through the Site, you will not:

 

  • impersonate any person or entity or misrepresent your affiliation with any other person or entity;
  • insert your own or a third party’s advertising, branding or other promotional content into any of the Site’s content, materials or services; or
  • gain or attempt to gain unauthorized access to other computer systems through the Site.

 

You agree to not:

Engage in spidering, “screen scraping,” “database scraping,” harvesting of e-mail addresses, wireless addresses or other contact or personal information, or any other automatic means of accessing, logging in or registering on the Site or for any products, services, or features offered on or through the Site, or obtaining lists of users or obtaining or accessing other information or features on, from or through the Site or the products or services offered on or through the Site, including but not limited to any information residing on any server or database connected to the Site or any products or services offered on or through the Site;

  1. Restrict or inhibit any other user from using and enjoying the Site or the Site’s products or services,
  2. Are fraudulent, unlawful, threatening, abusive, harassing, defamatory, obscene, vulgar, offensive, profane, sexually explicit or indecent;

Students agree to treat Tutors with respect and not use obscenities in the online classroom, lie about false emergencies, make threats or discuss personal matters or matters other than those related to the subject for which you seek help.

Users agree to not disclose any information to Tutor that could be considered personally personal information, such as your full names, physical address, contact number, email address or any other information that could be used to identify or locate users.

 

Users agree to not solicit any such information from any online Tutor or instructor and agree that if any online Tutor or instructor ever discloses such information to you, asks you for any personal information, or suggests any offline meeting or conversation, you agree to immediately report this to us in writing.

 

Users agree not to use the Site or the products, services, and information offered on the Site to recruit, solicit, or contact in any form Tutors for employment or contracting for a business not affiliated with us without our advance written permission.

 

If you use, or assist another person in using, our educational services in any unauthorized way, you agree that you will pay us an additional Two Hundred (£200) per hour for any time we spend to investigate and correct such use, plus any third party costs of investigation we incur with a minimum of £500 charge. You agree that we may charge any credit card number provided for your account for such amounts. For example, if you create 20 accounts under a hypothetical “one free hour” promotion, using multiple cell phones and/or credit cards, you agree that we may charge your card £500 (20 hours times £500) plus £250 in costs, for a total of £750. You further agree that you will not dispute such a charge and that we retain the right to collect any additional actual costs.

 

FORCE MAJEURE

We shall not be responsible for any failure or delay in performance due to circumstances beyond Our control, including, without limitation, to acts of God, war, riot, acts of civil or military authorities, fire, floods, accidents, service outages resulting from equipment and/or software failure and/or telecommunications failures, power failures, network failures, failures of third party service providers (including providers of internet services and telecommunications).

If You are affected by any such event, You shall notify Us within a maximum of Ten (10) days from the day You became aware. The performance of these Terms shall then be suspended for as long as any such event shall prevent Us from performing Our obligations under these Terms.

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

INDEMNIFICATION

User agrees to defend, indemnify and hold harmless Digitutors, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of Digitutors by User or User's Account.

Trademarks, logos, service marks and trade names (collectively the “Trademarks”) that are ours or Trademarks of any third party displayed on the Site or on content available through the Site may not be used unless authorized by the trademark owner. All Trademarks not owned by us that appear on the Site or on or through the Site’s products and services, if any, are the property of their respective owners.
